Corporate Legal Purpose
The Connecticut
State Veterans Memorial, Inc.
The corporation is organized
and shall be operated exclusively for charitable and
educational purposes within the meaning of Section 501(c)(3)
of the Internal Revenue Code of 1986, as amended (herein
called the “Code” and referred to by Section reference). In
furtherance of the forgoing general activities and purposes,
the specific activities and purposes to be conducted,
promoted, and carried out by the Corporation shall be to:
(a) promote a public remembrance of the service and sacrifices
of the members of the Military Forces of the United States of
America of all conflicts by constructing and promoting the
building of a memorial in their remembrance:
(b) solicit funds from individuals and organizations and to
receive, administer, hold, manage, accumulate, invest and
reinvest all funds, contributions, donations, gifts, devices,
and bequest received by or made to the Corporation from time
to time.
(c) in the discretion of the board of Directors of the
Corporation, upon completion of the memorial, to transfer
ownership and/or management of the memorial to the State of
Connecticut {Department of Veterans’ Affairs};
(d) expend, apply, or use any part or all of the current
income and any reasonable accumulations of income there from
and any part or parts or all of the principal assets of the
Corporation in such a manner to further and permit at all
times the carrying out of the general and specific purposes
and functions herein described and declared and none other; to
employ personnel, lease or acquire by subscription, gift, or
in any other lawful manner, and to hold, use, operate, deal in
mixed, tangible or intangible, necessary or incidental to the
fulfillment of the foregoing purposes including the right to
apply for all public licenses.
(e) To do all alone or in conjunction with other persons,
organizations or institutions proper or desirable for
accomplishing the purposes for which the Corporation is
organized.
In furtherance of the foregoing activities and purposes, but
subject to the restrictions of this Certificate of
Incorporation, the Corporation any engage in any lawful act or
activity for which the corporations may be formed under the
Nonstock Act.
